Terms of Service

1. Who we are

Zanshin Flow ("Zanshin", "we", "us") is operated by Logan Holdsworth, trading as Zanshin Flow. These terms are an agreement between you and us. They cover your use of zanshinflow.com, the Zanshin Flow app and everything served from it (the "Service"). By creating an account or using the Service you agree to them. If you don't agree, don't use the Service.

2. What the Service is

Zanshin Flow shows estimates of options dealer positioning (gamma, charm, vanna and related exposures), options flow and related market analytics for a set of index products, plus session replay and educational content.

• Dealer positioning is estimated, not observed. It rests on assumptions about who holds each option and which side of each trade was the aggressor, and those assumptions can be wrong.
• Market data comes from third-party providers and exchanges. It may be delayed, incomplete, interrupted or wrong, and our calculations on it can contain errors.
• We may add, change or remove symbols, windows, data sources and features.

3. Not financial advice

Nothing in the Service is investment, financial, tax or legal advice, or a recommendation or solicitation to buy, sell or hold any security, option, future or other instrument. We are not a broker, investment adviser or financial institution, and we are not authorised or regulated by the Financial Conduct Authority or any other financial regulator. The Service is general information that does not take your circumstances into account. You alone are responsible for your trading decisions and their results. Read the Risk Disclosure before you use the Service.

4. Your account

• You must be at least 18 years old and able to enter a binding contract.
• Give accurate details and keep your email address current, since password resets go there.
• An account is for one person. Don't share your login, and don't let others use your account.
• Keep your password secure and tell us at zanshinframework@gmail.com if you think someone else has accessed your account. You are responsible for activity on your account.

5. Subscription, free trial and billing

• Price. $15 (US dollars) per month, plus any taxes that apply. Your bank may add currency conversion fees.
• Free trial. New accounts get a free trial of 3 market days (US trading days: weekends and exchange holidays don't count, and a day counts if the trial starts before that day's 4 pm New York close). The trial ends at midnight New York time after the third one. A payment card is required to start it. If you don't cancel before the trial ends, your card is charged $15 and your subscription starts. One trial per person.
• Renewal. Your subscription renews automatically every month and your card is charged on each renewal date until you cancel.
• Cancelling. Cancel any time from your account page, which opens Stripe's billing portal. Cancelling stops future charges. You keep access until the end of the period you've paid for.
• Failed payments. If a payment fails, our payment processor will retry it. If it still fails, your access may be paused until your billing details are updated.
• Price changes. We'll email you at least 30 days before a price change takes effect. The new price applies from your next renewal after that notice, and you can cancel before then.
• Payments are processed by Stripe. We don't see or store your full card number.

6. Refunds and your right to cancel

If you're not happy with your first paid month, email zanshinframework@gmail.com within 14 days of that first charge and we'll refund it in full. After that, payments are non-refundable and we don't refund partial months, except where the law requires us to.

If you are a consumer in the UK or EU, you also have the statutory rights that apply to you, and nothing in these terms reduces them.

7. Acceptable use

The Service is licensed to you for your own personal use. You must not:

• copy, resell, redistribute, publish or rebroadcast the Service's data or output, or use it to build or feed another product or service. Occasional screenshots shared for personal, non-commercial discussion are fine;
• scrape, crawl or extract data automatically, or call our APIs other than through the app;
• share, sell or transfer your account or login;
• try to get around access controls, rate limits or billing, or probe, disrupt or overload our systems;
• reverse engineer the Service, except where the law permits this;
• use the Service unlawfully or in breach of any market data provider's or exchange's rules.

8. Our content

The Service, including its software, design, text, charts and calculations, belongs to us or our licensors and is protected by intellectual property law. These terms give you a limited, personal, non-exclusive, non-transferable and revocable right to use the Service while your account is active. They don't transfer any ownership to you. Market data remains the property of the exchanges and providers that supply it.

9. Availability and changes

We aim to keep the Service running during US market hours, but we don't guarantee that it will be uninterrupted, timely or error-free. Maintenance, provider outages, exchange problems and other events outside our control can affect it. We may change the Service, provided the changes don't substantially reduce what you're paying for. If they do, you can cancel, and we'll refund any unused prepaid period.

10. Suspension and termination

You can stop using the Service and cancel at any time. We may suspend or close your account if you seriously or repeatedly breach these terms, if we have to for legal reasons, or if we stop offering the Service. Unless the closure is because of your breach, we'll give reasonable notice where we can and refund any unused prepaid period.

11. Our liability

• The Service is provided "as is" and "as available". To the extent the law allows, we make no warranty that it is accurate, complete, timely or fit for any particular purpose.
• We are not liable for any trading or investment losses, or for loss of profit, revenue, business or opportunity, however caused, including losses caused by errors, delays or gaps in data or calculations.
• Otherwise, our total liability to you for anything arising from the Service is limited to the fees you paid us in the 12 months before the claim.
• Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that can't legally be limited or excluded, including your statutory rights as a consumer.

12. Changes to these terms

We may update these terms. For material changes we'll email you at least 30 days before they take effect. If you keep using the Service after that, you accept the new terms. If you don't accept them, cancel before they take effect.

13. Governing law

These terms are governed by the law of England and Wales, and its courts have jurisdiction over disputes. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings there.
